Pursuant to Article 14 of the Statute, the Board of Directors is responsible for the management and strategic choices of the Group.
Italpreziosi adopts the highest standards of corporate governance, with an organizational model inspired by principles of transparency, responsibility and long-term sustainability. The corporate governance system is based on a structured set of rules, functions and procedures that guarantee effective management, compliance with applicable regulations and the creation of value for all stakeholders.
The governance model currently adopted by Italpreziosi provides for the appointment, by the Shareholders’ Meeting, of the management and control bodies: the Board of Directors, with the task of defining the strategic lines and administering the company and the Board of Auditors, responsible for supervising the adequacy of the organizational, administrative and accounting structure, as well as compliance with the law and the Articles of Association.
Furthermore, Italpreziosi has adopted an Organizational Model pursuant to Legislative Decree 231/01, an essential tool for the prevention and fight against illicit behavior, for the promotion of an ethical and responsible corporate culture, as well as for the continuous improvement of processes and the reduction of financial and reputational risks.
															Founder of Italpreziosi, she has led the company for over 40 years with an entrepreneurial vision that combines innovation, sustainability and ethical responsibility. She is a member of the Board of Directors of Tera Automation, former President of Confindustria Federorafi and Vice President of the European Jewellery Federation (EFJ). She is also President of the Rondine Cittadella della Pace Foundation and a member of WimNET. Included among the 100 most influential women in the mining sector by Women in Mining (2022), she received the Honorary Award for Entrepreneurship (2023) and was named among the Top 100 Successful Managers by Forbes Italia in 2024. Under her leadership, Italpreziosi obtained the B Corp™ certification.
With over 50 years of experience in the precious metals sector, he is a reference shareholder in some of the main Italian companies active in production, trade and refining.
Lawyer expert in national and international taxation, he also assists at the European Court of Human Rights. He obtained the title of Legal Adviser – International Law with the Robert Schuman Course (Strasbourg, 2015).
Chartered Accountant and Auditor, registered with the Order of Accountants of Pisa.
Expert in international relations and sustainability. She has collaborated with the Ministry of Foreign Affairs and think tanks such as IAI and ChinaMED Project. Since 2024, she has been vice president of the Precious Metals Committee and member of the Board of Directors of CIBJO – The World Jewellery Confederation.
The Board of Directors is composed of five members: two women (40%) and three men (60%). The selection criteria include experience, specialization and commitment to sustainability, integrated into the company strategy. The Board of Directors defines the strategic direction of the company, supervises its implementation and promotes the culture of responsibility.
